Whistler Capital-backed Radiology Partners to acquire Livingbridge’s Everlight Radiology

Whistler Capital-backed Radiology Partners has agreed to acquire Everlight Radiology, a teleradiology provider majority-owned by UK private equity firm Livingbridge since 2021, the companies said. The deal will create what Radiology Partners calls a global leader in teleradiology, combining Everlight’s international radiologist network with Radiology Partners’ domestic reach.

The combination unites Everlight’s international radiologist network with the vRad unit of Radiology Partners’ clinical services arm, the largest teleradiology platform in the US. Each organization will continue serving its existing markets, with radiologists reading only where they are licensed and credentialed, and the companies plan to share technology and clinical standards.

Everlight operates a “follow-the-sun” model with more than 800 radiologists across more than 40 countries, reporting 2.5 million exams annually for more than 340 client organizations across the UK, Ireland, Australia, New Zealand and South Africa.

Radiology Partners serves more than 3,400 hospitals and healthcare facilities in the US, while vRad has served nearly 120 million patients since 2001. Radiology Partners is backed by Whistler Capital Partners, which invested through a structured equity arrangement in February 2024, and New Enterprise Associates, an investor in the company since 2012.

Radiology Partners has invested in AI through its Mosaic Clinical Technologies unit, which developed MosaicOS, incorporating vision language models and AI-enabled reporting. Subject to regulatory clearances, its Mosaic Drafting tool, which uses artificial intelligence to create draft reports for radiologist review, will be extended to Everlight’s radiologists.

The deal comes amid a global shortage of radiologists. The UK’s Royal College of Radiologists has reported that CT and MRI imaging demand grew 9 percent in 2024-25, while the radiologist workforce grew only 4.7 percent. In Australia, diagnostic imaging services under Medicare have risen about 40 percent over the past decade, with advanced imaging growing nearly twice as fast as the radiologist workforce, according to the release.

Financial terms were not disclosed, and the transaction is subject to customary regulatory approvals and closing conditions. Rothschild & Co. and Barclays served as financial advisors to Radiology Partners, while Jones Day and Kirkland & Ellis provided legal counsel.
